1. How OnyxOne is bought

OnyxOne is enterprise software sold through a direct, contracted process: a demonstration and scoping conversation, a written proposal, an order signed by both parties, provisioning of your workspace, and invoicing. There is no checkout on this website, it takes no payments, and it collects no payment-card details.

Because every engagement is contracted, the commercial terms that apply to you are the ones in your signed order. This policy describes the position that applies where your order does not say something different.

2. What you are charged

Fees, the currency, the billing frequency and any usage limits are set out in your order. Unless the order says otherwise, fees are invoiced in advance for each subscription term, and invoices are payable within 30 days of the invoice date without set-off or deduction.

Fees are exclusive of value added tax and of any other tax, duty or withholding, which your organisation pays in addition where it applies by law.

3. Subscriptions do not renew automatically

A subscription does not renew automatically unless its order expressly says so. Where the order is silent, the subscription simply expires at the end of its term, nothing further is invoiced, and a further term is taken by agreeing a new order.

There is no recurring mandate or card-on-file arrangement, because no card is taken in the first place. Continuing is always a decision your organisation makes, never something that happens to you by default.

Where an order does provide for renewal, it states the renewal term and the notice period for declining it. That notice period is the one that applies, and we will not treat a late notice as an automatic further term without talking to you.

4. Stopping before a term ends

You can stop using the Service at any time. Because terms are invoiced in advance, stopping part-way through a term does not end the obligation to pay the fees for that term, and we do not pro-rate or refund the unused part of a term you chose to stop using. Your access continues until the term expires.

If you want the workspace closed before expiry rather than left idle, ask us and we will close it. Closing early is a decision about access, not about money: it does not create an entitlement that section 5 does not already give you.

5. When we correct or refund

We correct billing errors as a matter of course, and we do not require you to argue for them:

  • Duplicate charge. Your organisation was invoiced or charged more than once for the same term. We credit or repay the duplicate in full.
  • Incorrect amount. You were charged an amount other than the order states. We credit or repay the difference.
  • Failed provisioning. We could not provision the Service at all and cannot put it right. We refund the fees paid for that term in full.
  • We end it. Where we terminate the agreement for our own convenience, or withdraw the Service, we refund the fees for the unused part of the paid term.
  • Unauthorised payment. A payment was not authorised by your organisation. We refund it on verification and will assist your bank's enquiry.

6. When we do not refund

So that this is a real commitment rather than a marketing line, the limits are stated as plainly as the entitlements:

  • A term your organisation used and then decided it no longer wanted, where the Service worked as described.
  • A term that expired normally, where no further order was agreed.
  • Unused capacity, users or allowance within a term that was made available to you.
  • Access lost through suspension or termination for your breach of the Terms or the Acceptable Use Policy.
  • Dissatisfaction with a risk, control or compliance outcome the platform recorded correctly. OnyxOne supplies the system and the evidence trail; the judgement and the regulatory responsibility remain yours.

7. How to raise a billing query

Write to hello@onyxone.uk with the invoice number and what looks wrong. You do not need to use particular wording.

We aim to acknowledge within 2 business days and to resolve within 10 business days. Where a credit is due it is applied to the account or repaid to the originating bank account. Where we do not agree, we will tell you why in writing rather than leaving the query unanswered.

You may withhold an amount you dispute in good faith if you tell us in writing before the due date and pay the rest, which is the position set out in the Terms.

8. Business customers

OnyxOne is supplied to organisations for their business purposes and is not offered to consumers. Statutory consumer cancellation and cooling-off rights, which apply to consumers rather than to businesses, do not apply to a purchase made in the course of a business.

This does not reduce the entitlements in section 5, which we give as a matter of policy, and it does not affect any right that cannot lawfully be excluded.

9. What happens to your data

Access ending is not the same as data being destroyed. On expiry or termination, Customer Data is returned or deleted as set out in the Data Processing Agreement, and for 30 days afterwards we will on request give your organisation a reasonable opportunity to export it.

A refund does not by itself delete your data, and deleting your data does not by itself create a refund. If you want both, ask for both.

10. Changes to this policy

If we change this policy, the version that applies to your subscription is the one published when your order was signed. We do not apply a later, less generous version retrospectively.
